Terms of Service
These Terms of Service ("Terms") govern your use of the website https://natzar.ai (the "Site") and all related content, demos, materials, and communications made available by Natzar ("Natzar," "we," "our," or "us"). Natzar provides AI-powered primary care services purpose-built for Medicaid populations, delivered exclusively in partnership with licensed healthcare organizations such as Independent Physician Associations (IPAs), Federally Qualified Health Centers (FQHCs), and health plans.
By accessing or using the Site, you ("you" or "user") agree to these Terms. If you do not agree, you may not use the Site.
These Terms govern your use of the Site only. Any commercial or clinical relationship between Natzar and a partner organization — including the actual delivery of services to that partner's patient population — is governed by a separate Partnership Agreement, Business Associate Agreement (BAA), and any related licensing or service agreements ("Partnership Documents"). In the event of a conflict between these Terms and any Partnership Document, the Partnership Document controls for that partnership.
1. About Natzar and the Site
The Site is an informational and lead-generation website intended for:
Representatives of IPAs, FQHCs, health plans, and other healthcare organizations evaluating Natzar as a potential partner.
Healthcare professionals, journalists, investors, and other parties seeking information about our services.
The Site does not provide medical advice, diagnosis, or treatment to any individual. It does not constitute the practice of medicine. Patient care is delivered exclusively through partner healthcare organizations under the appropriate Partnership Documents and applicable clinical licensure.
2. Eligibility and User Responsibilities
2.1 Eligibility
By using the Site, you represent and warrant that you:
are at least 18 years old;
are accessing the Site from within the United States;
if acting on behalf of an organization, have the authority to act for and bind that organization to these Terms;
will provide accurate, complete, and current information when contacting us or requesting a demo.
2.2 Permitted Use
You agree to use the Site solely for lawful business purposes related to evaluating, exploring, or maintaining a relationship with Natzar. You agree not to:
use the Site for any purpose that violates applicable federal, state, or local laws;
attempt to gain unauthorized access to any portion of the Site, our systems, or related infrastructure;
scrape, copy, or systematically extract content from the Site;
introduce viruses, malicious code, or other harmful technology;
misrepresent your identity, organization, or authority;
interfere with or disrupt the Site or any user's use of it.
3. Information You Provide
When you contact us, request a demo, or otherwise interact with the Site, you may provide professional contact information, organizational details, and other information related to your interest in Natzar. Our handling of this information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
You agree that any information you provide is accurate to the best of your knowledge and that you have the right to share it with us.
4. No Medical Advice on the Site
The Site is for informational and partnership-development purposes only. Nothing on the Site constitutes medical advice, diagnosis, or treatment, and no doctor-patient relationship is created by your use of the Site.
If you or someone you know is experiencing a medical emergency, call 911 immediately or seek in-person medical attention. For non-emergency medical concerns, individuals should consult a licensed healthcare provider.
Any clinical service Natzar provides to patients is delivered exclusively through licensed partner healthcare organizations, under the supervision of licensed clinicians, and pursuant to the applicable Partnership Documents.
5. HIPAA and Healthcare Compliance Posture
Natzar designs and operates its services to comply with the Health Insurance Portability and Accountability Act of 1996 ("HIPAA"), the HITECH Act, and applicable state privacy laws.
When Natzar provides services to a partner healthcare organization, Natzar typically acts as a Business Associate under HIPAA to that organization (the "Covered Entity"). All transmission, handling, and storage of Protected Health Information ("PHI") in connection with a partnership is governed by a Business Associate Agreement executed between Natzar and the partner organization.
The Site itself does not collect PHI from website visitors. Information you provide through the Site (such as your name, work email, and organization) is professional contact information and is governed by our Privacy Policy.
6. Commercial Terms Are Separate
The Site does not offer paid services for purchase. Any commercial relationship between Natzar and a partner organization — including fees, scope of services, deliverables, service levels, support, and term — is established through a separately negotiated and executed Partnership Agreement and related Partnership Documents.
Nothing on the Site constitutes a binding offer to provide services, and no contractual obligation arises between Natzar and any organization until both parties execute the applicable Partnership Documents.
7. Intellectual Property
All content on the Site — including text, graphics, logos, software, designs, product descriptions, pilot results, clinical materials, and underlying technology — is owned by Natzar or its licensors and is protected by U.S. and international intellectual property laws.
You may view and download Site content solely for your internal evaluation of Natzar as a potential partner. You may not reproduce, modify, distribute, republish, exploit, or create derivative works from any Site content without Natzar's prior written consent, except as expressly permitted by applicable law.
"Natzar," the Natzar logo, and any related marks are trademarks of Natzar. No license to use these marks is granted by these Terms.
8. Third-Party Links and Materials
The Site may contain links to or reference third-party websites, materials, or services. These are provided for convenience only. Natzar does not endorse, control, or assume responsibility for the content, accuracy, or practices of any third-party site or service.
9. Disclaimers and Limitations of Liability
9.1 No Warranties
The Site is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, or that the Site will be uninterrupted or error-free. Statements about pilot results, projected outcomes, or financial performance are illustrative and do not constitute a guarantee of results in any specific partnership.
9.2 Limitation of Liability
To the fullest extent permitted by law, Natzar and its officers, employees, contractors, affiliates, and agents shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, revenue, data, goodwill, or business opportunity, arising out of or related to your use of the Site, even if Natzar has been advised of the possibility of such damages.
Natzar's maximum aggregate liability for any claim arising out of or related to the Site shall not exceed one hundred U.S. dollars ($100).
This Section 9 does not limit liability arising under any executed Partnership Document, which has its own liability provisions.
9.3 Indemnification
You agree to indemnify, defend, and hold harmless Natzar, its officers, employees, contractors, affiliates, and agents from and against any claims, damages, liabilities, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Site; (b) your violation of these Terms; (c) your violation of any applicable law; or (d) your provision of inaccurate, misleading, or unauthorized information through the Site.
10. Suspension and Termination
We may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including any actual or suspected violation of these Terms or any conduct we determine to be harmful to Natzar, the Site, or other users. You may stop using the Site at any time.
Sections that by their nature should survive termination — including Intellectual Property, Disclaimers and Limitations of Liability, Indemnification, Governing Law, and Contact — will survive any termination of these Terms.
11. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware (the state of Natzar's incorporation), without regard to its conflict-of-laws principles.
Any dispute arising out of or relating to these Terms or your use of the Site shall be resolved exclusively through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration shall take place in Delaware, in English, before a single arbitrator. Judgment on the arbitration award may be entered in any court of competent jurisdiction.
Notwithstanding the above, either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property or confidential information.
You and Natzar agree that any dispute shall be brought on an individual basis only, and not as a class, collective, or representative action.
12. Modifications
We may revise these Terms from time to time. If we make material changes, we will revise the "Effective Date" above and provide notice through the Site or by email where appropriate. Your continued use of the Site after the updated Terms take effect constitutes your acceptance of the revised Terms.
13. Miscellaneous
Entire Agreement. These Terms, together with our Privacy Policy and any executed Partnership Documents, constitute the entire agreement between you and Natzar regarding your use of the Site.
Severability. If any provision of these Terms is held to be unenforceable, the remaining provisions remain in full force and effect.
No Waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
Assignment. You may not assign these Terms without our prior written consent. Natzar may assign these Terms in connection with a merger, acquisition, financing, or sale of assets.
No Agency. These Terms do not create any partnership, joint venture, employment, or agency relationship between you and Natzar.
